 I had taken it upon myself to work on the documentation which includes:

Contract of Engagement: 
Contract of Engagement means the agreement made between the Client and the Candidate that describes and outlines the duties, responsibilities, schedule, terms and conditions of remuneration and accommodation as well as exact requirements and period of employment of the Candidate.

Non-disclosure Agreement:
NDAs, or non-disclosure agreements, are legally enforceable contracts that create a confidential relationship between a person who has sensitive information and a person who will gain access to that information.

Environmental Statement:
An environmental statement sets out your assessment of the likely environmental effects of your proposed development.  

Why would we need these?
In Banshee Studios case, we want to assure that our original work is kept confidential and not leaked to the public and to ensure either those who we hire or those who sponsor us understand the terms and conditions of our game's production.

 CONTRACT OF ENGAGEMENT

This Contract of Engagement ("Contract") is made effective as of [Date] by and between:

1. ENGAGEMENT
The Studio engages the Contractor to provide the services described in Exhibit A ("Services").

2. TERM
This Contract shall commence on 26th September 2024 and continue until 19th January 2025 or until terminated per Section 7.

3. COMPENSATION
The Studio agrees to pay the Contractor £20,000, to be paid according to the following schedule: £75/hr

4. OWNERSHIP OF WORK
All work products created by the Contractor during this engagement shall be the property of the Studio. The Contractor assigns all rights to the Studio.

5. CONFIDENTIALITY
The Contractor agrees to keep confidential any proprietary information received from the Studio during the term of this Contract.

6. INDEPENDENT CONTRACTOR STATUS
The Contractor is an independent contractor and is responsible for all taxes and insurance applicable to the compensation received.

7. TERMINATION
Either party may terminate this Contract with 30 days' written notice. Upon termination, the Contractor shall return all Studio property.

8. INDEMNIFICATION
The Contractor agrees to indemnify the Studio against any claims arising from the Contractor's performance of the Services.

9. DISPUTE RESOLUTION
Any disputes shall be resolved through mediation in accordance with UK law.

10. GOVERNING LAW
This Contract shall be governed by the laws of England and Wales.

1. Purpose
The Disclosing Party intends to disclose certain confidential information (“Confidential Information”) for the purpose of [name of game].

2. Confidential Information
“Confidential Information” includes all information disclosed, whether in written, electronic, or oral form, that is designated as confidential or should reasonably be understood as such.

3. Obligations of the Receiving Party
The Receiving Party agrees to:

  • Keep the Confidential Information confidential.

  • Use the Confidential Information solely for the Purpose.

  • Take reasonable measures to protect the Confidential Information.

4. Exclusions
Confidential Information does not include information that:

  • Is publicly available;

  • Was known to the Receiving Party prior to disclosure;

  • Is independently developed by the Receiving Party;

  • Is disclosed by a third party without confidentiality obligations.

5. Term
This Agreement shall remain in effect for two years from the date of disclosure.

6. Return of Materials
Upon request, the Receiving Party shall return or destroy all materials containing Confidential Information.

7. Governing Law
This Agreement shall be governed by the laws of England and Wales.
